Effective Date: February 3, 2026

1. BINDING AGREEMENT AND ELIGIBILITY This is a legally binding agreement between you and Up One Ai LLC. By creating an account, you represent that you are at least 18 years of age and possess the legal authority to bind yourself or your organization to these Terms.

2. ZERO-LIABILITY FOR THIRD-PARTY ACCOUNT ACTIONS (SPAM & TERMINATION)

• User Responsibility: You acknowledge that you are the sole publisher of any content transmitted through Adspreneur.

• Account Termination: Up One Ai LLC shall NOT be held liable for any suspension, permanent ban, "shadowban," or restriction imposed by social media platforms (Meta, Instagram, X, etc.).

• Compliance: You are strictly responsible for complying with the Anti-Spam policies and Community Guidelines of each platform. Any use of our tools for mass-spamming, harassment, or prohibited automation is a material breach of this contract.

• No Warranty of Stability: We are not responsible for changes in third-party API policies that may render certain features of the service obsolete or lead to account flags.

3. PROPRIETARY RIGHTS AND REVERSE ENGINEERING The platform's code, architecture, and "white-label" interface are the exclusive intellectual property of Up One Ai LLC. You are strictly prohibited from:

• Attempting to decompile, reverse engineer, or copy the source code.

• Scraping data or using automated bots to access our dashboard.

4. AI GENERATED CONTENT DISCLAIMER The AI tools provided are for assistance only. The Company does not warrant the accuracy, legality, or appropriateness of AI-generated output. You assume all risks associated with the publication of AI-generated content.

5. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Up One Ai LLC and its officers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including attorney's fees) resulting from: (i) your use of the service; (ii) your violation of any third-party right, including social media platform policies; or (iii) any content published via your account.

6. LIMITATION OF LIABILITY (LIABILITY CAP) To the maximum extent permitted by New Mexico law, the Company's total liability for any claim shall be limited to the amount actually paid by the user to the Company for the service during the six (6) months prior to the event giving rise to the liability.

7. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

• Arbitration: All disputes shall be resolved through binding arbitration in Albuquerque, New Mexico, conducted by the American Arbitration Association (AAA).

• Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class-action lawsuit or class-wide arbitration.

8. GOVERNING LAW This agreement is governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles.
